Note: HostSync is a service provided by Paradigma das Ondas Unipessoal Lda, based in Portugal, acting as the official reseller of Beds24 GmbH.
Technical and data hosting services are provided by Beds24 GmbH, based in Germany, but the contract is concluded between HostSync and the Client.
1. Subject of the Contract
1.1 The subject of this contract is the provision by HostSync of the “HostSync” application (based on Beds24 technology) as Software as a Service (SaaS), accessible exclusively via the Internet.
The Client can use HostSync to manage their properties, reservations, channels, and related data stored on the provided infrastructure.
1.2 The Client does not acquire any rights to the underlying Beds24 software or the technical infrastructure, except for the right to temporary use through HostSync.
1.3 The service is exclusively aimed at professional clients (companies, individual entrepreneurs, local accommodations, hotels, property management agencies). Use by end consumers for private purposes is not permitted.
2. Contracting Parties
2.1 The contracting parties are:
- Paradigma das Ondas Unipessoal Lda (HostSync), Portugal
- The Client (service user).
2.2 HostSync provides the Client with the necessary access credentials for identification and authentication.
3. Usage Rights
3.1 HostSync is a reservation management and channel manager system. Reservations can be entered manually, received through the Client’s website, or imported from third-party channels.
3.2 HostSync guarantees an average annual availability of 99% (excluding scheduled maintenance periods).
3.3 HostSync (together with Beds24 GmbH) reserves the right to introduce improvements or changes to the software, provided these do not result in a substantial loss of functionality without 30 days’ prior notice.
3.4 The Client is not entitled to use HostSync beyond what is stipulated in this contract (e.g., copying, reselling, reverse engineering).
3.5 In case of abuse or illegal use, HostSync may immediately suspend the account and/or terminate the contract.
4. Client Obligations
4.1 The Client must monitor their reservations and immediately report any failures to HostSync.
4.2 The Client is responsible for keeping access credentials secure and protecting their systems against unauthorized access.
4.3 In case of incidents, the Client must cooperate with HostSync and follow the defined support channels.
5. Prices, Payments, and Refunds
5.1 The service is billed monthly, based on configured items (properties, rooms, channel links, subaccounts, extras, etc.).
5.2 All amounts are presented excluding VAT, to which the applicable legal rate is added.
5.3 Variable costs (e.g., SMS, online payments) are charged immediately.
5.4 The Client must maintain a positive balance. Accounts with a negative balance may be suspended until regularization.
5.5 Credit refunds are subject to administrative costs, except in cases of legitimate contract termination by the Client.
6. Free Trial Period
All clients are entitled to 14 days of free use, with no payment obligation, with limited access to test credits (e.g., SMS).
7. Contract Duration and Termination
7.1 The contract begins at the time of Client registration.
7.2 After the free trial period, the contract automatically renews in monthly cycles, provided there is a positive balance.
7.3 The Client can cancel at any time through the administration area (menu “Cancel Account”).
7.4 HostSync may choose not to renew the contract with 3 months’ prior notice.
7.5 Both parties may terminate for cause in case of serious breach.
8. Liability and Limitations
8.1 HostSync commits to correcting reported failures within a reasonable timeframe.
8.2 HostSync is only liable for damages resulting from intent or gross negligence.
8.3 In cases of simple negligence, liability is limited to the value corresponding to 12 months of paid subscription.
8.4 There is no liability for indirect damages, loss of profits, or third-party claims, except for legal obligations.
9. Data, Privacy, and Security
9.1 HostSync ensures that processed data complies with the GDPR.
9.2 Data is stored on servers of Beds24 GmbH, in Germany (EU).
9.3 After contract termination, the Client’s data will be deleted within a maximum period of 3 months.
10. Changes to Terms
HostSync may change these Terms & Conditions when necessary, informing the Client at least 30 days in advance. The Client may terminate if they do not agree with the changes.
11. Conflict with Other Conditions
If the Client presents their own conditions, these do not replace the present Terms. In case of conflict, legal provisions apply.
12. Severability Clause
If any provision is invalid, the remaining provisions remain in effect.
13. Applicable Law and Jurisdiction
This contract is governed by Portuguese law.
In case of dispute, the competent court is the court of the district where HostSync is headquartered, in Portugal.
